Terms of Service

1. Acceptance of Terms
By accessing or using the Dagger platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, clients, and security firms who access or use the Service. If you do not agree to these Terms, you must not use the Service. Use of the Service by an organisation constitutes acceptance on behalf of that organisation.
2. Description of Service
Dagger is a commercial marketplace that connects organisations ("Clients") with vetted security service providers ("Security Firms"). The Service allows Clients to post security requirements — including event coverage, site patrol, executive protection, and investigation engagements — and enables Security Firms to submit competitive bids for that work. Dagger facilitates the connection and contracting process but is not itself a party to any agreement formed between a Client and a Security Firm.
3. User Roles and Accounts
Users of the Service register as either a Client or a Security Firm. You must provide accurate, current, and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You may not impersonate another person or organisation, create accounts on behalf of someone else without authorisation, or operate more than one account per entity without prior written approval from Dagger.
4. Client Responsibilities
Clients agree to:
- Post requirements that are accurate, lawful, and within the scope of legitimate security services
- Provide sufficient scope, timeline, and site information to allow Security Firms to submit informed bids
- Engage with Security Firms in good faith and not solicit bids without genuine intent to award work
- Honour payment obligations arising from any contract formed through the platform
- Not use the platform to obtain competitive intelligence from Security Firms without awarding work
5. Security Firm Responsibilities
Security Firms agree to:
- Hold and maintain all licences, registrations, and credentials required by applicable law for every service they offer
- Submit bids that accurately represent their capabilities, pricing, and availability
- Employ or engage only personnel who are appropriately licensed and cleared for the work
- Carry adequate professional liability, public liability, and workers' compensation insurance
- Not engage in bid manipulation, collusion, or any practice that undermines fair competition
- Notify Dagger promptly if any licence, registration, or insurance lapses
6. Vetting and Verification
Dagger conducts vetting checks on Security Firms as a condition of joining the network. Vetting may include verification of licences, insurance, company registration, and references. Dagger reserves the right to suspend or remove any Security Firm that fails to meet or maintain vetting standards. Vetting does not constitute an endorsement of any firm's services, and Clients remain responsible for their own due diligence before awarding a contract.
7. Bidding and Contracting
Submission of a bid by a Security Firm constitutes an offer to provide the described services on the stated terms. Acceptance of a bid by a Client forms a binding contract directly between the Client and the Security Firm. Dagger is not a party to that contract and bears no liability for its performance or non-performance. Any disputes arising from a contract must be resolved directly between the Client and the Security Firm, subject to the dispute resolution process outlined in Section 11.
8. Platform Fees
Dagger may charge fees for use of the platform, including listing fees, success fees, or subscription fees. Applicable fees will be disclosed before they are incurred. Dagger reserves the right to change its fee structure with reasonable notice. All fees are exclusive of applicable taxes, which are the responsibility of the paying party.
9. Prohibited Conduct
You must not use the Service to:
- Post requirements or offer services that are unlawful, fraudulent, or deceptive
- Harass, threaten, or discriminate against other users
- Circumvent the platform by arranging off-platform transactions to avoid fees after an introduction made through Dagger
- Upload malware, engage in scraping, or interfere with the platform's operation
- Violate any applicable law, regulation, or third-party right
10. Intellectual Property
All content, design, and software on the Dagger platform is owned by or licensed to Dagger Network Corps and is protected by applicable intellectual property law. You are granted a limited, non-exclusive, revocable licence to access and use the Service for its intended commercial purpose. You may not copy, modify, distribute, or create derivative works from any part of the platform without prior written consent from Dagger.
11. Dispute Resolution
If a dispute arises between a Client and a Security Firm in connection with work arranged through the platform, the parties agree to first attempt to resolve it in good faith through direct negotiation. If unresolved within 30 days, either party may request Dagger's assistance as a non-binding mediator. Dagger may, at its sole discretion, decline to mediate. Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Dagger and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of or inability to use the Service. Dagger's total aggregate liability for any claim relating to the Service shall not exceed the fees paid by you to Dagger in the three months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Dagger Network Corps and its officers, directors, employees, and agents from any claim, damage, loss, or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or any contract formed through the platform.
14. Service Modifications and Termination
Dagger reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable. Dagger may suspend or terminate your account if you breach these Terms, fail vetting requirements, or engage in conduct that Dagger reasonably determines to be harmful to the platform or its users.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Dagger Network Corps is incorporated, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts in that jurisdiction for any dispute arising from these Terms or the Service.
16. Changes to These Terms
Dagger may update these Terms from time to time. We will notify registered users of material changes by email or prominent notice on the platform. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms.
